1. 1. Name, location and term of activity

2. Legal status

2.1 The Branch is a separate subdivision of the legal entity Public Association “Reproductive Health Alliance” (hereinafter referred to as Alliance).
2.2 The Branch is not a legal entity. It performs protection and representation of the Alliance interests on the territory of the Kyrgyz Republic corresponding oblast, as well as fulfills the functions on behalf of the Alliance on the territory of other regions.
2.3 The Branch performs its activity in accordance with requirements of the Charter, Kyrgyz Republic acting legislation, norms of the International Law and present Provision.
2.4 When performing financial and economic activities, the Branch obtains the stamp with its names, other stamps, company stationeries and other attributes and requisites. It may open settlement and other accounts on behalf of the Alliance.

3 Aim and subject of the activity

3.1 Aim of the Branch activity includes representation and protection of the Alliance interests on the territory of the corresponding oblast of the Kyrgyz Republic.
3.2 Subject of the Branch activity includes:
3.2.1 Promotion and protection of the main rights of men and women for free and well- conscious choice, related to their reproductive and sexual health:
3.2.2 Provision the information about sexual and reproductive health, including the issues, related to family planning, as well as provision of corresponding services to the population;
3.2.3 Other types of activities, stipulated by the Charter of the PA “Reproductive Health Alliance”, which do not contradict the Charter and the Kyrgyz Republic acting legislation.
3.3 Activity of the Branch is performed in accordance with the Charter provisions, Provision on the Branch and Kyrgyz Republic acting legislation.

4. Rights and obligations of the Branch

4.1 When performing the activity, the Branch on behalf of the Alliance has the right to:
4.1.1 Cooperate with various state, public and other organizations;
4.1.2 Represent and protect interests of the Alliance and its members in all governmental and non-governmental structures on the corresponding territory and abroad;
4.1.3 Freely advocate aims and goals of the organization; spread information and printed production of the Alliance;
4.1.4 Implement educational programs and projects for propaganda and maintenance of healthy life-style, free choice of family planning means, reproductive and sexual health;
4.1.5 Establish mass media and perform publishing activity;
4.1.6 Conclude contracts with counterparties, which do not contradict the Alliance Charter and acting legislation by approbation of the Head Organization;
4.1.7 In accordance with the Charter and acting legislation, the Branch own buildings, constructions, lands, equipment, inventory, monetary assets and other securities as well as other types of property, required for material provision of the Branch activity maintenance and development;
4.2 The Branch has the right to perform production and economic activity in accordance with the Kyrgyz Republic acting legislation, by means of establishment of enterprises and self-sustained organizations, possessing the rights of legal entities for the purpose of the Charter objectives fulfillments.
4.3 The Branch in its activity is accountable to the Head Organization.
4.4 The Branch is obliged to:

4.4.1 Provide safety and efficiency of the property usage, which the Alliance has provided to it;
4.4.2 Execute the Alliance managing board decisions;
4.4.3 Refrain from illegal actions, which may cause damage to the organization image as well as material loss;
4.4.4 Maintain operative, bookkeeping and statistical accounting and reporting in accordance with the procedure, established by the law;
4.4.5 Provide reports on the performed work and financial report to the Head Organization;
4.4.6 Coordinate its activity with the Head Organization.

5. Property and Financial Means

5.1 For the purpose of the Branch provision with material and technical base, required for implementation of aims, objectives and functions of the Alliance, determined by the present Provision, the Alliance provides the Branch with the required property.
5.2 All property, transferred to the Branch, as well as the property, purchased by the Branch, is the Alliance ownership.
5.3 Financing of the Branch activity is performed by the Alliance or by its approbation.
5.4 The Branch may dispose or somehow manage the settled estate only on behalf and by approbation of the Alliance.

6. Branch and Regional Meeting of the Alliance

6.1 Members of the Alliance, living on the territory of the corresponding oblast, have the right to execute their charter rights through Regional Meeting of the Alliance.
6.2 Regional Meeting of the Alliance is the representative body, which performs the following functions:
6.2.1 Election of delegates from corresponding oblast to the General Assembly of the Alliance;
6.2.2 Delegation and election of members of the Regional Board of the Branch;
6.2.3 Delegation and election of the Branch Chairman from the Branch members;
6.3 Regional Meeting elects the Regional Board of the Branch, which consists of 3-5 persons and is the Alliance representative body on the territory of the corresponding oblast and performing of the following functions:
6.3.1 Develops and coordinates implementation of programs and projects on the Alliance activity on the territory of the corresponding oblast.
6.3.2. Searches for financing sources for the Alliance target programs.
6.3.3. Accepts new members to the Alliance, in accordance with the procedure, stipulated by the Charter.
6.3.4. Makes proposals on establishment, sizes and utilization of the target and special funds.
6.4. The number of delegates to the General Assembly shall be representative from the number of membes with the voting right, i.e. proportional to the number of the Alliance members in a region.
6.5. Decisions of the Branch Regional Meeting are accepted by its members by open or ballot voting with common majority of votes from the number of present people.

7. Branch management

7.1. Management of the Branch is performed by the Alliance, which has the right to make decisions on any issues, related to the Branch activity.
7.2. Exclusive competence of the Alliance with reference to the Branch management is specified in its Charter and present Provision.
7.3. General management of the Branch activity is performed by Chairman of the Alliance Regional Board on the territory of the corresponding oblast of the Kyrgyz Republic (hereinafter referred to as Chairman), who is elected by the Regional Meeting of the corresponding oblast. Also Regional Meeting elects Vice-Chairman and Treasurer.
7.4. Chairman of the Alliance Branch:
7.4.1. Performs general management of the Branch, coordinates activity of the Branch and Regional Meeting;
7.4.2. Arranges execution of the Alliance decisions;
7.4.3. Represents the Alliance interests in all governmental agencies on the territory of the corresponding oblast of the Kyrgyz Republic as well as in non-governmental organizations;
7.4.4. Bears responsibility for the Branch activity to the Alliance;
7.4.5. Proposes major trends of the Branch activity to the Alliance for consideration;
7.4.6. Is accountable to the Alliance and Regional Board with regard to its activity;
7.5. In case of necessity, management of the Branch activity may be performed by the Alliance Coordinator on the territory of the corresponding oblast of the Kyrgyz Republic (hereinafter referred to as Coordinator), appointed by the Executive Director of the Alliance.
7.6. Coordinator of the Branch acts on the basis of the letter of attorney, issued by the Alliance and describing his competence.
8. Personnel of the Branch

8.1. The Branch, on behalf and by approbation of the Alliance, solves all staffing issues in accordance with the Kyrgyz Republic acting legislation.
8.2. Norms of the Kyrgyz Republic legislation on labor, contractual conditions of the labor contract as well as the legislation on social provision and insurance are applied to staff members of the Branch with regard to labor relationship.

9. Procedure for re-organization and termination of the Branch

9.1. The Branch terminates its activity in case of the Head Organization activity termination, which is specified in the article 10 of the Alliance Charter.

10. Final Provisions

10.1. The present Provision comes into effect from the moment of its registration in accordance with the procedure, stipulated by the Kyrgyz Republic acting legislation.
10.2Norms of the present Provision may be changed on the basis of the Alliance General Assembly decision.
10.3.In case of re-organizations or liquidation, the documents, preparing in the process of the Branch activity shall be maintained and used in accordance with the Kyrgyz Republic Law “On the national archive fund of the Kyrgyz Republic”
